Scope of Agreement
These Terms & Conditions apply to every proposal, quotation, proforma invoice, purchase order, and sale issued by Somani Paper House to corporate, institutional, or reseller customers. Acceptance of a quotation or delivery constitutes agreement to these terms.
Quotations & Pricing
- Standard quotations remain valid for 15 calendar days unless otherwise confirmed in writing.
- Prices exclude statutory taxes, levies, octroi, or entry charges, which are borne by the buyer at actuals.
- Somani reserves the right to adjust pricing based on mill revisions or currency fluctuations with prior notice.
Orders & Acceptance
- Orders are confirmed upon receipt of a signed purchase order, email confirmation, or advance payment as agreed.
- Somani may decline orders that exceed credit limits or where supply constraints prevent timely fulfilment.
- Any changes to specifications after confirmation must be approved in writing and may affect delivery timelines and pricing.
Payment Terms
- Payment schedules are agreed during onboarding and documented within the quotation or service agreement.
- Delayed payments attract interest at prevailing market rates and may lead to suspension of further deliveries until dues are settled.
- Ownership of goods transfers to the buyer only upon receipt of full payment.
Delivery & Risk
- Somani will make reasonable efforts to meet committed delivery dates; however, delays caused by factors beyond our control are not deemed breaches.
- Risk of loss or damage passes to the buyer once goods are handed over to the authorised representative or transporter.
- The buyer must inspect consignments upon delivery and notify Somani of discrepancies within 48 hours.
Quality & Warranties
Somani Paper House guarantees that supplied products conform to the specifications agreed at the time of order. Warranty claims are subject to our inspection and the manufacturer’s guidelines.
Limitation of Liability
Somani’s liability for any claim is limited to the invoice value of the specific goods in question. We are not liable for indirect, incidental, or consequential losses such as business interruption or loss of profits.
Force Majeure
Somani is not responsible for delays or failures arising from events beyond reasonable control including, but not limited to, natural disasters, strikes, transport embargoes, regulatory changes, or pandemics. Obligations will resume once the event concludes.
Governing Law & Dispute Resolution
These terms are governed by the laws of India. Any disputes will fall under the exclusive jurisdiction of the competent courts in Kolkata, West Bengal.
